Enterprise, Reseller, OEM & White-Label Terms

1. Purpose and Availability

These optional terms apply only if Greeks Vault enters into a separate written reseller, enterprise, OEM, channel or white-label arrangement. Ordinary subscribers receive no reseller rights.

2. Grant of Rights

A written order or addendum may grant the reseller a limited right to market and/or resell specified Greeks Vault subscriptions, modules or services to approved customers during the authorized term and territory. The reseller receives no ownership of Greeks Vault technology.

3. Platform Ownership

All software, source code, APIs, infrastructure, documentation, analytics methodologies, trademarks, domain names, trade secrets, data products and other Greeks Vault intellectual property remain owned by Elysium Capital LLC or its licensors.

4. No Reverse Engineering / Competitive Use

Reseller may not copy, modify, decompile, reverse engineer, extract or use the Platform to create a competing product or to circumvent licensing, usage, authentication or entitlement controls.

5. Customer Terms

Reseller customers must accept the applicable Greeks Vault customer Terms, privacy notices, risk disclosures and feature agreements unless the written reseller agreement expressly replaces or supplements those terms.

6. Branding / White Label

Any white-label or co-branded rights must be specifically stated in writing, including permitted marks, territories, support obligations, data responsibilities and termination rights. No implied trademark license exists.

7. Data and Market-Data Restrictions

Reseller may not redistribute market data except to the extent a valid exchange/vendor license expressly permits that distribution. Reseller is responsible for complying with applicable data-entitlement and reporting requirements assigned to it.

8. Payments and Taxes

Wholesale pricing, taxes, minimum commitments, payment terms and customer billing responsibilities are established only in the separate written commercial agreement.

9. Compliance and Audit

Reseller must comply with applicable laws and provider terms and cooperate with reasonable audits regarding authorized customer counts, usage, entitlement and branding.

10. Termination

Upon termination, reseller rights end and all use of Greeks Vault proprietary materials must cease except as expressly required to support existing customers under a transition arrangement.
