Master Terms of Use and SaaS Agreement

1. Agreement, Definitions and Acceptance

This Master Terms of Use and SaaS Agreement (the “Agreement”) is a binding contract between Elysium Capital LLC D-B-A Greeks Vault (“Greeks Vault,” “we,” “us,” or “our”) and the person or legal entity accepting it (“User,” “you,” or “your”). Acceptance may occur by a click-to-accept action, electronic signature, account creation that incorporates these Terms, or other affirmative acceptance presented with the Platform.

“Platform” means the Greeks Vault website, application, APIs, software, interfaces, documentation, tools, dashboards, analytics, backtesting, simulation, strategy-building, automation, order-routing, broker-connectivity, market-data and related services we make available. Feature-specific agreements and disclosures may supplement these Terms.

If User accepts these Terms for an entity, User represents and warrants authority to bind that entity. If User does not agree, User must not access or use the Platform.

2. SaaS Service; Self-Directed Technology Model

Greeks Vault provides technology and software infrastructure. The Platform is designed for self-directed use. You decide whether to trade, what to trade, which broker to use, and whether and when to activate automation.

Greeks Vault does not, merely by providing the Platform, undertake to select investments, determine your investment objectives, tailor strategies to your financial circumstances, manage your portfolio on a discretionary basis, or provide individualized investment advice. Standardized tools, templates, analytics, educational material, signals, probability calculations, examples, AI outputs, or other Platform functionality are not a promise or representation that a security, contract, strategy, or transaction is suitable for you.

Greeks Vault is not a bank, broker-dealer, exchange, clearing firm, FCM, custodian, investment company, or trading venue. Brokerage services, account custody, clearing, settlement, margin, exercise, assignment, corporate actions and execution are provided by the applicable third party.

3. Broker Connectivity and Order Transmission

When you connect an eligible brokerage account and enable a supported feature, the Platform may retrieve permitted account information and transmit instructions to the broker using the permissions, APIs, OAuth scopes, tokens, gateways, or other methods authorized for that integration.

Greeks Vault does not guarantee that an instruction will be transmitted, received, accepted, processed, routed, filled, canceled, or executed, or that execution will occur at any requested price, time or size. Brokers and exchanges may reject, modify, delay, halt, cancel, or otherwise control orders under their rules and risk systems.

You remain responsible for your brokerage account, the accuracy of your configuration, and monitoring your account directly with your broker. Greeks Vault does not take custody of your cash or securities and, unless separately and lawfully authorized in writing, does not have withdrawal, transfer, beneficiary-change, bank-instruction, or other non-trading authority over your brokerage account.

4. Supported and Future Brokers

Interactive Brokers (“IBKR”) and Charles Schwab are current supported integrations. Greeks Vault may add, remove, limit, suspend, or change brokers or broker functionality at any time. Future broker connections may be governed by additional broker-specific schedules, agreements, approvals and technical requirements.

Your relationship with a broker remains between you and that broker. Broker terms, API agreements, privacy terms, market-data terms, and account eligibility rules continue to apply independently of these Terms.

5. Eligibility, Account Authority and Security

You must be at least 18 years old and legally capable of entering this Agreement. You may connect only accounts you own or for which the broker has formally granted you authority.

You must keep Platform credentials, API keys, tokens, authentication factors, recovery information and devices secure. Do not send passwords, secrets, or full brokerage credentials to Greeks Vault support.

You must promptly notify Greeks Vault of suspected unauthorized access. We may suspend, revoke tokens, disconnect brokers, disable live trading, or require re-authentication where reasonably necessary to protect the Platform, customers, brokers, exchanges, data providers, or third parties.

6. License to Use the Platform

Subject to payment of applicable fees and compliance with this Agreement, Greeks Vault grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable subscription term to access and use the Platform for your own lawful personal use or internal business use as permitted by your plan.

No ownership, title, copyright, patent, trademark, trade secret, database right, or other intellectual-property right in the Platform is transferred to you. All rights not expressly granted are reserved by Greeks Vault and its licensors.

7. No Resale, Sublicensing, Service Bureau or White-Label Use

Except under a separate written agreement signed by Greeks Vault, you may not sell, resell, sublicense, rent, lease, loan, timeshare, share, transfer, assign, host, white-label, mirror, provide as a service bureau, or otherwise make the Platform or your subscription available to any third party.

You may not share paid account credentials or permit another person to access a subscription intended for a single user. Team, enterprise, reseller, distribution, white-label, API, OEM or similar commercial rights exist only if expressly granted in a separate written agreement.

Nothing in this Agreement restricts Greeks Vault or its affiliates from licensing, distributing, reselling, white-labeling, commercializing, or otherwise exploiting its own software, services, technology, data products, documentation, trademarks, or other intellectual property through direct sales, affiliates, resellers, partners, distributors, enterprise arrangements or other lawful channels.

8. Prohibited Uses

You may not reverse engineer, decompile, disassemble, decode, extract source code, discover underlying ideas or algorithms, circumvent access controls, remove proprietary notices, or create derivative works of the Platform except to the limited extent non-waivable law permits.

You may not scrape, mine, crawl, harvest, copy, benchmark, mirror, frame, reproduce, publish, or systematically extract Platform content, data, source code, APIs, documentation, or user information except through interfaces expressly documented or authorized by Greeks Vault.

You may not use the Platform to violate securities, commodities, market-data, sanctions, export-control, privacy, consumer-protection, anti-fraud or other applicable law; facilitate unauthorized account access; impersonate others; deploy malware; perform denial-of-service or unauthorized security testing; or interfere with the Platform, brokers, exchanges, or other users.

9. Trading Conduct and User Compliance

You are solely responsible for ensuring that your trading activity, account, strategies, order types, position sizes and use of the Platform comply with applicable law and the rules of your broker, exchange and other providers.

You must not use the Platform to engage in or facilitate fraud, market manipulation, spoofing, layering, wash trading, matched orders, unauthorized insider trading, unauthorized front-running, circumvention of trading restrictions, or other unlawful conduct.

You must not use Greeks Vault to provide personalized human trading, investment-advisory, managed-account, concierge trading, or account-operation services to another person unless a separate written arrangement expressly authorizes the activity and all required legal permissions are in place.

10. Market Data, Exchange Data and Third-Party Information

Market Data and Third-Party Content may be delayed, incomplete, inaccurate, revised, interrupted, restricted, or unavailable. Data is provided subject to the rights and restrictions of its source providers.

You may not redistribute, resell, publish, retransmit, sublicense, or use market data outside the permissions applicable to your entitlement. Professional/non-professional classifications and other certifications must be accurate and updated when circumstances change.

Where exchange or vendor rules require subscriber assent, audits, reporting, classifications, usage declarations, or non-display permissions, you agree to complete them and authorize the disclosures reasonably required to administer those licenses.

11. User Content; Strategy Content; Data Rights

As between you and Greeks Vault, you retain ownership of your original User Content, including strategies, configurations, scripts, notes, prompts, and other content you submit or create, except for third-party materials and Company Materials incorporated into it.

You grant Greeks Vault a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, execute, display, process, back up, troubleshoot, secure and otherwise use User Content only as reasonably necessary to provide the Platform, enable features you request, comply with law, protect the service, and maintain aggregate or de-identified analytics.

Greeks Vault will not treat a private strategy as automatically public or commercially licensable to unrelated third parties. Public sharing, marketplace listing, publication, strategy licensing, or monetization of User Content requires your express use of the applicable feature and the additional terms governing that feature.

You represent and warrant that you own or have sufficient rights and permissions for your User Content and that Greeks Vault’s permitted processing of that content will not infringe another person’s rights.

12. Greeks Vault Proprietary Materials and Feedback

Greeks Vault owns or licenses all rights in the Platform and Company Materials, including source and object code, software architecture, APIs, interfaces, visual design, documentation, databases, compilations, taxonomies, methodologies, templates, models, algorithms, prompts, system logic, trademarks, service marks, logos, domain names, trade secrets, know-how, improvements, enhancements, derivative works, and other proprietary materials.

Except for rights expressly granted to you, no license is implied. You may not use Greeks Vault branding or proprietary materials to suggest sponsorship, partnership, approval, ownership, or endorsement without written permission.

If you provide suggestions, ideas, recommendations, bug reports, feature requests, or other feedback concerning the Platform (“Feedback”), you grant Greeks Vault a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable right to use, reproduce, modify, publish, commercialize and otherwise exploit that Feedback without compensation, provided that Feedback does not include your confidential private strategy content unless you expressly identify it as Feedback.

13. Derived, Aggregated and De-Identified Data

Greeks Vault may generate operational telemetry, error logs, usage metrics, performance statistics and other data regarding operation of the Platform. To the extent such data is aggregated or de-identified so that it does not reasonably identify you or disclose your private proprietary content, Greeks Vault may use and commercialize it to operate, secure, analyze, improve, test and develop its services.

Greeks Vault will not claim ownership of third-party market data or broker-owned account data contrary to the rights of those providers. Market Data remains subject to applicable provider rights and restrictions.

14. Subscriptions, Billing and Taxes

Subscription pricing, billing interval, included features, trial conditions, usage limits and renewal terms are shown at checkout or in the applicable order. Recurring subscriptions automatically renew unless cancelled as described in the Subscription, Billing, Refund & Cancellation Policy.

You authorize the payment provider to charge the selected payment method. You are responsible for applicable taxes other than taxes based on Greeks Vault’s net income. Greeks Vault may use payment processors and billing providers.

15. Service Changes, Beta Features and Availability

Greeks Vault may add, remove, modify, suspend or discontinue features, brokers, data products, instruments, APIs, templates, integrations, usage limits or other Platform components. A change may be necessary because of security, legal, broker, exchange, vendor, technical or business reasons.

Beta, preview, experimental or early-access features may be identified as such and may be changed or discontinued without warranty. Greeks Vault does not promise any particular uptime, support level, release schedule, or compatibility.

16. Suspension and Termination

Greeks Vault may suspend or terminate an account or feature for breach, non-payment, fraud, security risk, illegal or abusive use, unauthorized account access, broker or exchange requirements, data-license restrictions, or when reasonably necessary to protect the Platform or others.

Upon termination, your access license ends. You should export any data you need before termination where an export feature is available. Certain data may remain in backups, logs, legal holds, security records or other retention systems as permitted by law and the Privacy Policy.

17. Confidentiality and Security

You agree not to disclose or misuse non-public Greeks Vault information, including non-public software, source code, security architecture, credentials, API specifications not made public, unreleased features, non-public pricing, or confidential documentation.

Greeks Vault will use commercially reasonable technical and organizational measures appropriate to the service and applicable law, but no system can be guaranteed completely secure. Your security obligations and Greeks Vault’s handling of personal information are further described in the Privacy Policy and Information Security materials where applicable.

18. Warranties Disclaimed

THE PLATFORM, COMPANY MATERIALS, DATA, DOCUMENTATION AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. GREEKS VAULT DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION AND RESULTS, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

GREEKS VAULT DOES NOT WARRANT THAT ANY STRATEGY, BACKTEST, SIGNAL, ALERT, AI OUTPUT, ORDER, CONNECTION, BROKER INTEGRATION OR AUTOMATION WILL PRODUCE A PARTICULAR RESULT OR OPERATE WITHOUT INTERRUPTION OR ERROR.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREEKS VAULT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, TRADING OPPORTUNITIES, DATA, GOODWILL OR BUSINESS, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREEKS VAULT’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO GREEKS VAULT FOR THE PLATFORM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

THE FOREGOING EXCLUSIONS AND CAP DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR FRAUDULENT CONDUCT, WILLFUL MISCONDUCT, OR OTHER NON-WAIVABLE LIABILITY. TO THE EXTENT REQUIRED BY LAW, THE LIMITATIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED.

20. Indemnification

You agree to defend, indemnify and hold harmless Greeks Vault, its affiliates, licensors, vendors, service providers and their respective officers, directors, employees, contractors and agents from and against third-party claims, damages, judgments, settlements, reasonable attorneys’ fees and costs arising out of or relating to: (a) your User Content; (b) your breach of this Agreement or a feature-specific agreement; (c) your unlawful or unauthorized use of the Platform; (d) your use of a brokerage account or integration for which you lack authority; (e) your violation of a broker, exchange, market-data or third-party term; or (f) your violation of applicable law.

To the extent permitted by law, the indemnity also covers fines, penalties and regulatory or governmental costs imposed because of your unlawful conduct or breach. No indemnity is intended to shift any liability that applicable law prohibits a party from shifting.

21. Equitable Relief and Attorneys’ Fees

You acknowledge that unauthorized use, copying, disclosure, scraping, resale, security compromise, infringement, or misuse of Greeks Vault intellectual property or confidential information may cause irreparable harm for which monetary damages may be inadequate. Greeks Vault may seek temporary, preliminary or permanent injunctive or other equitable relief in a court of competent jurisdiction without waiving other remedies, to the extent permitted by law and consistent with the dispute-resolution provisions below.

In an action or proceeding to enforce the intellectual-property, confidentiality, security, payment, or unauthorized-use provisions, the prevailing party may recover reasonable attorneys’ fees and costs to the extent permitted by applicable law, the arbitrator, or the court.

22. Dispute Resolution; Arbitration; Class Waiver

Before filing a covered claim, the parties will attempt in good faith to resolve the dispute informally by sending written notice describing the claim and requested relief to support@greeksvault.com. If the matter is not resolved within thirty (30) days, either party may proceed as permitted below.

Except for individual small-claims matters, intellectual-property or trade-secret claims, requests for emergency equitable relief, claims that cannot lawfully be arbitrated, or other expressly excluded claims, disputes will be resolved by individual binding arbitration under the Federal Arbitration Act through the American Arbitration Association under its applicable rules. No class, collective, mass, representative or consolidated action may be pursued to the extent permitted by law.

You may opt out of the arbitration provision by sending an email to support@greeksvault.com within thirty (30) days after your first acceptance of this Agreement, stating your full name and that you reject the arbitration requirement. The opt-out does not affect any other provision of the Agreement.

For matters permitted to proceed in court, you consent to personal jurisdiction and venue in the state courts of the Texas county in which Elysium Capital LLC maintains its principal place of business when the action is commenced, and in the federal district court encompassing that county, except to the extent another forum is required by non-waivable law.

23. Assignment; No Partnership; Third-Party Beneficiaries

You may not assign or transfer this Agreement or any rights or obligations under it without Greeks Vault’s prior written consent. Greeks Vault may assign this Agreement to an affiliate or in connection with a merger, reorganization, financing, acquisition, sale of assets, change of control, or other transfer of substantially all relevant business assets.

Nothing in these Terms creates a partnership, joint venture, fiduciary relationship, employment relationship, agency, or franchise between you and Greeks Vault.

Except for Greeks Vault affiliates, licensors and service providers that are expressly protected by provisions intended for their benefit, these Terms do not create third-party beneficiary rights.

24. Governing Law; Other Legal Terms

These Terms are governed by applicable federal law and the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent mandatory law of the User’s jurisdiction applies.

These Terms, together with feature-specific agreements, incorporated policies, and order/checkout terms, constitute the entire agreement regarding the Platform and supersede prior representations about the same subject. If a feature-specific agreement conflicts with these Terms, the more specific agreement controls only for that feature. Broker, exchange and market-data provider terms control their own services and licensed data to the extent required.

If any provision is invalid or unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. No failure to enforce a provision is a waiver. Sections that by their nature should survive termination will survive, including intellectual property, restrictions, user-content rights, fees owed, indemnification, liability limitations, dispute provisions, and confidentiality.

25. Statute of Limitations for Claims

To the maximum extent permitted by law, any claim arising out of or relating to the Platform or this Agreement must be commenced within one (1) year after the claim accrued. This limitation does not shorten a non-waivable statutory limitation period.

Electronic notices may be delivered through the Platform, to the email address associated with your account, or by posting the notice on the applicable legal page as permitted by law.
